INDEPENDENT CONTRACTOR AGREEMENT

 

This Independent Contractor Agreement (the "Agreement") is made effective as of   by and between Digital Guru (the "Company"), located at Vasagatan 7, Stockholm, 11122, Sweden, and (the "Contractor"),  residing at .

1. Scope of Work

    A. The Company provides global IT and telemarketing solutions, specializing in a range of services, including but not limited to:

  • Digital Marketing
  • Search Engine Optimization
  • Social Media Marketing
  • Salesforce Consulting
  • Content Creation Services
  • Web Development
  • Mobile Application Development
  • IT Consulting
  • UI/UX Design

The Contractor shall primarily perform duties remotely; however, local travel may be required depending on the Company’s needs. The primary location for work and its vicinity shall be: .

    B. The Company seeks to engage the services of the Contractor.

 

2. Employment Terms

    A. The Contractor is engaged as an at-will independent contractor, meaning that either party may terminate this Agreement with a two weeks notice, by providing the notice to the other party.

    B. The Contractor will be guided by an assigned Training Manager during the initial training period and beyond, as necessary. The Training Manager will serve as the primary point of contact for training matters and ongoing support.

 

3. Job Responsibilities

The Contractor agrees to diligently perform the following duties, including but not limited to:

  1. Managing customer payments for the services provided by the Company;
  2. Becoming proficient in the online applications and tools used to process payments;
  3. Conducting research to support internal operations and customer needs;
  4. Updating and maintaining project files, plans, and policies;
  5. Integrating partner data into project documentation;
  6. Providing project updates and reports to the management team

 

4. Training and Compensation

    A. The Contractor's training will commence on the "Training Day," as scheduled and communicated by the Training Manager. The Contractor is required to follow all training instructions and report any unauthorized communications immediately.

    B. Compensation:

  • A fixed monthly salary of $3,000 will be paid, contingent upon successful completion of the training program;
  • A recurring performance-based bonus of 5% (for fulfilling the Responsibility mentioned in Clause 3 -1 - further details on how to earn this recurring bonus are to be declared upon commencement of the training)

 

5. Expense Reimbursement

The Company agrees to reimburse the Contractor for any reasonable "out-of-pocket" expenses, including travel at the rate of $2 per mile, in accordance with the Company’s policies. Reimbursements will be added to the Contractor’s paycheck or bonus payout, whichever occurs first.

 

6. Taxes and Reporting

The Contractor acknowledges that they are engaged as an independent contractor and will be solely responsible for their own taxes and filings. Payments to the Contractor will be reported on a 1099 Tax Form. The Company’s accountant will assist the Contractor with necessary tax filings, ensuring proper reporting by January 31st of each year.

 

7. Confidentiality

The Contractor agrees to maintain strict confidentiality regarding all proprietary information of the Company, including but not limited to:

  • Inventions, products, product designs, and processes
  • Trade secrets, customer lists, sensitive banking information, and business affairs
  • Any other confidential client or Company data

The Contractor will not disclose or share such information with unauthorized third parties. Any breach of confidentiality will be considered a material breach of this Agreement and may result in legal action. This Agreement is compliant with the Defend Trade Secrets Act.

 

8. Business Hours

The Contractor’s work hours will be from morning to early afternoon, local time, Monday through Friday. Should additional hours be worked, the Contractor may either reduce hours on a subsequent day or take an additional day off, subject to prior approval by the Training Manager.

 

9. Vacation

The Contractor is entitled to three (3) weeks of paid vacation annually, or as otherwise mandated by applicable law. The scheduling of vacation time must be agreed upon in advance to ensure minimal disruption to business operations. Any unused vacation days will be compensated upon termination, in accordance with applicable law.

 

10. Compliance with Company Rules

The Contractor agrees to comply with all policies, rules, and regulations established by the Company.

 

11.Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements, written or oral, between the parties.

 

12. Amendment

This Agreement may only be amended or modified in writing, signed by both parties.

 

13. Severability

If any provision of this Agreement is deemed invalid, unenforceable, or void, the remainder of the Agreement shall remain in effect. Any invalid provision may be modified to the extent necessary to make it enforceable.

 

14. Waiver of Contractual Rights

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of the right to enforce such provision in the future.

 

15. Applicable Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws principles.

 

16. Signatories

This Agreement shall be signed by Lens Skellard, in his capacity as Director/CEO representing the Company, and by the Contractor in their individual capacity. This Agreement shall take effect on the date first written below.
